Organiser terms
Mema is run by Auxo Digital (Pty) Ltd, South Africa.
These terms apply to hosts: anyone who creates an event, a calendar or an organisation on Mema, and their team members. They add to the Terms of use and the Mema privacy add-on and the Auxo Digital Privacy Notice.
1. Your events
- You are responsible for your event: its description, venue, safety, permits and whether it goes ahead.
- Event details must be true and not misleading. If the time or place changes, update the event so guests are told.
- You are responsible for everyone you add to your organisation and for what they do on Mema.
2. Paid tickets: Auxo Digital is the merchant of record
Paid tickets are not available on Mema yet. Sections 2 to 4 apply when paid tickets launch; until then every event is free.
- When you sell paid tickets, Auxo Digital (Pty) Ltd sells them on your behalf and is the merchant of record. Buyers pay Auxo Digital through Paystack.
- We hold the ticket money until the event is over. We then pay you by EFT to the bank account you gave us. The payout timing will be set out here when paid tickets launch.
- Your payout is the ticket sales, minus refunds, minus fees.
- Free events cost nothing.
3. Fees
- Mema platform fee: 5% of each paid ticket.
- Payment fees: what Paystack charges us, for example 2.9% + R1 for a local card or 2% for EFT (excluding VAT). These can change when Paystack changes its prices.
- Who pays: by default you pay the fees. The buyer sees your ticket price and the fees come off your payout. You can choose to pass the fees on to buyers instead; checkout then shows them clearly.
- VAT is added to our fees where it applies. When paid tickets launch, each payout will come with a statement.
4. Refunds
- Each paid event has a refund policy shown on its page. The default is: refunds up to 7 days before the event starts.
- You can make the policy more generous after you publish the event, but never stricter. Buyers rely on what they saw when they paid.
- If you cancel the event, every buyer gets a full refund of the ticket price. Payment fees already charged by Paystack may come off what we owe you, or be charged to you if the payout is not enough.
- Chargebacks and disputes on your event are your cost. We may hold back part of a payout while one is open.
5. Consent: who you may invite
- You may only invite, import or add people who have agreed to hear from you, or who already have a relationship with you that the law accepts.
- When you import a list or add guests directly, you confirm that you have their consent and can prove it if asked.
- Do not buy, rent or scrape contact lists.
- Guests who tick "Keep me posted about future events" consent to hear from your organisation only. Respect every opt-out. Mema enforces opt-outs automatically.
- You are a responsible party under POPIA for the guest information you collect and use outside Mema, including in your Fikelela workspace or CSV exports.
6. Acceptable use
- No events or messages that are illegal, fraudulent, hateful, or promote violence or exploitation.
- No spam, misleading subject lines or pretending to be someone else.
- No collecting ID numbers, health or other special personal information through registration questions unless you have a lawful reason and tell guests why.
- No pyramid schemes, unlicensed gambling or selling of regulated goods.
7. Sending limits and suspension
- New organisations can send up to 50 host emails a week (guests added by hand, approvals, declines, invitations). Verified organisations can send up to 500. Notices about a change of time or place, or a cancellation, always reach the guests and do not count, but at most 3 change notices per event go out in 24 hours (later changes go together in the next one). We may change these limits.
- We watch bounces, spam complaints and opt-outs. If they are high, we may slow down or pause your sending.
- We may suspend an event, an organisation or an account that breaks these terms, puts guests at risk or harms Mema's ability to deliver messages. Where we can, we will tell you first and give you a chance to fix it.
- If we suspend a paid event, we may refund buyers and hold the payout until the matter is settled.
8. Ending
You can stop using Mema at any time. We will still pay out money owed to you for past events, minus refunds and fees. We keep records for as long as the law requires, as set out in the Mema privacy add-on.
